Split-off We Want Cinema from Amstelfilm

Yuno Advisors assisted Amstelfilm in the financial and legal split-off (demerger) of its cinema-on-demand platform We Want Cinema to a separate legal entity as well as participation by a business relation. Furthermore, Yuno Advisors advised Amstelfilm in the successful grant of a European subsidy program.
Amstelfilm (www.amstelfilm.nl) was founded in Amsterdam in 2008, and is mainly active as an art house movie distributor (a.o. Above us All, Heli, Nieuwe Helden, Steekspel). In addition to own acquired titles, Amstelfilm also distributes movies and documentaries for Mokum Filmdistributie and independent movie makers and producers. In 2012, Amstelfilm started with the development and launch of a unique “cinema-on-demand” platform. To realize further development and professionalization of the platform, Yuno Advisors advised Amstelfilm in the formal legal split-off from the We Want Cinema related activities in a separate group of entities, including the transfer of Intellectual Property and valuation of assets and liabilities. In addition, Yuno Advisors advised on the financial part of the subsidy grant from the Media Programme of the European Commission, that was granted early 2014.
We Want Cinema is a unique and proprietary developed “on-demand” platform for showing movies in a cinema. Anyone can start an event from the We Want Cinema database of movies and documentaries, and decide which movie is shown when and where in one of the associated movie theatres in the Netherlands. As soon as the “crowd” has reached the critical mass the event will take place. We Want Cinema won the CineEurope Digital Innovation Award as well as the Global Creative Business Cup in 2012, and since last year We Want Cinema is also active in Germany.
