Acquisition of Bakkerij Verbeek by Bakkerij Van der Westen

Yuno Advisors has advised the Van der Westen family, shareholders of Bakkerij Van der Westen, on the acquisition of Bakkerij Verbeek. With this acquisition, Bakkerij Van der Westen becomes the undisputed number one organic bakery in the Benelux. To realize the transaction, a new bank financing was arranged with ING Bank.
Bakery Van der Westen – founded in 1950 – is a family business with around 175 employees, which is run by father Ad van der Westen and his 5 children, who each hold different positions within the company. The company supplies (including a.o. the brand Zonnemaire) fresh and long shelf life organic and gluten-free products to approximately 400 organic stores in the Netherlands, Belgium and Germany. It also delivers long shelf life products under Private Label to supermarkets and export markets. The company currently has four production locations, including two in Waspik, one in Made and one in Gilze.
Bakkerij Verbeek, located in Brummen, was founded in the early 70s and employs 72 people. In 2012, Bakkerij Verbeek was acquired by vegetable processing company vanRijsingen, and is managed by Gudrun Kummerer and Vincent Derksen since 2015. In 2017, Bakkerij Verbeek also took over the operations of the German bakery ‘Der Konsequente Biobacker’, located in Ahaus. Bakkerij Verbeek produces organic bread & pastries, mainly for biosupermarkets and specialty stores.
The new combination will focus on a bundled approach to make the bread department concepts at biosupermarkets and speciality stores more attractive, which starts with a balanced and optimal assortment, sustainable packaging, good supply chain efficiency, optimal service, strong support and communication.
Yuno Advisors assisted Van der Westen in the entire process – from start to finish. Our advice covered all facets of the M&A and financing process, including structuring the transaction, realizing the LoI and final transaction documentation, drafting bank documentation, including documentation for the banks, financial modeling and a combination analysis as well as advising on negotiating the financing facilities with the banks.
